FRANCHISEE TERMS & CONDITIONS

1. FRANCHISEE APPOINTMENT & SCOPE

1.1. You will operate exclusively under the brand name "Vipra Vivaah" and shall not use any other name, logo, or branding without prior written consent.

1.2. This franchisee agreement grants you the right to operate a matrimonial services center in your designated territory as specified in the Franchisee Agreement.

1.3. You are strictly prohibited from running, operating, or being associated with any other matrimonial service franchisee or competing business during the tenure of this agreement.

1.4. The franchisee is non-transferable and cannot be sold, assigned, or transferred to any third party without express written permission from Vipra Vivaah.

1.5. Vipra Vivaah reserves the right to appoint multiple franchisees in the same territory, city, locality, or geographical area based on business requirements and market potential.


2. FINANCIAL TERMS & CONDITIONS

2.1. Non-Refundable Fees: All franchisee registration fees, security deposits, and initial setup charges are strictly non-refundable under any circumstances.

2.2. Payment Collection - Portal Only: All customer payments must be collected ONLY through the official Vipra Vivaah payment portal/gateway. No other mode of payment collection is permitted.

2.3. Displayed Amount Only: You are strictly restricted to collecting only the exact amount displayed on the Vipra Vivaah portal for each service package. The payment amount shall be as shown on the system and cannot be modified.

2.4. Prohibited Payment Methods: The following payment collection methods are strictly PROHIBITED:

  • Cash payments
  • Cheques
  • Demand Drafts (DD)
  • Direct bank transfers to franchisee accounts
  • Any offline payment methods
  • Personal digital payment apps (PhonePe, Google Pay, Paytm to franchisee personal accounts)

2.5. No Extra Charges: You shall NOT collect any extra payment, additional charges, service fees, processing fees, or any amount beyond what is displayed on the portal in any form whatsoever.

2.6. Zero Tolerance for Overcharging: Overpricing or collection of any amount in excess of the portal-displayed price is strictly prohibited and will result in immediate termination of the franchisee agreement.

2.7. Automatic Receipt Generation: All payments made through the portal will automatically generate official receipts from Vipra Vivaah system. No separate receipts should be issued by the franchisee.

2.8. Discount Authority: You may offer discounts to customers at your sole discretion to promote business. Such discounts must be applied through the portal system (if the feature is available) or borne by you from your commission.

2.9. Price Revisions: Vipra Vivaah reserves the right to increase or decrease service rates from time to time, which will be automatically updated in the portal system.

2.10. Commission Structure: You will receive commissions as per the agreed commission structure outlined in your franchisee agreement, calculated based on payments received through the portal.

2.11. Transaction Transparency: All transactions through the portal are automatically recorded and tracked, ensuring complete transparency and accountability.

2.12. Daily Accounts Submission: You must submit daily business reports and registration details through the designated system. Financial reconciliation will be automatic based on portal transactions.

2.13. Monthly Settlement: All commissions and dues shall be settled monthly based on verified portal transactions.

2.14. Customer Payment Guidance: You must guide and assist customers in making payments through the official portal, but shall not handle money directly in any form.

2.15. Payment Disputes: Only transactions recorded in the Vipra Vivaah portal will be considered valid. No offline payment claims will be entertained.

2.16. Financial Liability: You will be solely responsible for service-related issues, but all financial transactions must be verifiable through the portal system.

2.17. Penalty for Violations: Any violation of payment collection rules will result in:

  • Immediate suspension of franchisee operations
  • Forfeiture of security deposit
  • Termination of franchisee agreement
  • Legal action for fraud or misappropriation

2.18. Customer Protection: This portal-only payment system ensures customer safety, transaction security, and protects both customers and franchisees from disputes.


3. INTELLECTUAL PROPERTY & CONFIDENTIALITY

3.1. Proprietary Information: All intellectual property, including business models, software, databases, marketing materials, logos, and trade secrets, remain the exclusive property of Vipra Vivaah.

3.2. Strict Confidentiality: Sharing, distributing, copying, or disclosing any intellectual property, member data, business model, or confidential information to any third party is strictly prohibited.

3.3. Data Protection: You must maintain the highest standards of data privacy and security for all member information and comply with applicable data protection laws.

3.4. No Unauthorized Use: You shall not use Vipra Vivaah's brand name, logo, or proprietary materials for any purpose other than authorized franchisee operations.

3.5. Information Security: You must implement adequate security measures to protect member data from unauthorized access, theft, or breach.

3.6. Non-Disclosure: You shall not pass on, sell, or provide any information or business intelligence to other agencies, competitors, or third parties that may be detrimental to Vipra Vivaah's business interests.


4. OPERATIONAL GUIDELINES & BUSINESS MODEL

4.1. Business Model Compliance: You must strictly follow the business model, operational procedures, and guidelines provided by Vipra Vivaah without deviation.

4.2. Profile Registration: As a franchisee, you are authorized to register customer profiles, collect documentation, and facilitate profile creation on the Vipra Vivaah platform.

4.3. Contact Information Policy: You shall NOT provide contact details (phone numbers, email addresses, residential addresses) of other Vipra Vivaah members to anyone. Paid members will receive contact details through the online platform directly.

4.4. Member Transparency: While registering members, you must clearly inform them that:

  • Their profiles will be listed on the Vipra Vivaah website/platform
  • All payments must be made through the official portal only
  • The exact service charges as displayed on the portal

4.5. Platform Demonstration: You must demonstrate the working of the Vipra Vivaah website/mobile application to every registered member comprehensively, ensuring they understand all features and the payment process.

4.6. Quality Service Standards: You are required to provide prompt, professional, and courteous service to all members and maintain high standards of customer satisfaction.

4.7. Customer Support: You must address customer queries, complaints, and service requests promptly and escalate unresolved issues to the Head Office.

4.8. Documentation Standards: Maintain proper documentation of all registrations, including photographs, identity proofs, and required certificates as per Vipra Vivaah's guidelines.

4.9. Profile Verification: You must verify the authenticity of information provided by members and ensure quality profiles are registered.

4.10. Regular Updates: You must regularly update yourself with new features, policy changes, and operational guidelines communicated by Vipra Vivaah.


5. TECHNICAL SUPPORT & SYSTEM USAGE

5.1. Technical Management: All technical issues, including website maintenance, software updates, payment gateway functionality, and platform functionality, will be handled exclusively by Vipra Vivaah's technical team.

5.2. Technical Cooperation: You must cooperate with the technical team during system maintenance, updates, or troubleshooting.

5.3. System Access: You will be provided with franchisee login credentials to access the Vipra Vivaah management portal, which must be kept confidential and secure.

5.4. No Unauthorized Modifications: You shall not attempt to modify, reverse-engineer, or tamper with any software, platform, payment systems, or technical systems provided by Vipra Vivaah.

5.5. Issue Reporting: Any technical problems, bugs, payment gateway issues, or system issues must be immediately reported to the technical support team.

5.6. Training & Support: Vipra Vivaah will provide necessary training and ongoing support for using the platform, management systems, and payment portal.


6. MARKETING & ADVERTISING

6.1. Brand Usage: You must use "Vipra Vivaah" name, logo, and branding in all advertising and marketing materials.

6.2. Prior Approval Required: All advertisements and marketing materials must be submitted to Vipra Vivaah Head Office for approval before publication.

6.3. Advertising Channels: You may advertise through newspapers, radio, cable TV, online platforms, social media, magazines, outdoor advertising, and digital marketing.

6.4. Content Approval: The content, format, design, and messaging of all advertisements must be approved by Vipra Vivaah to maintain brand consistency.

6.5. Marketing Support: Vipra Vivaah may provide marketing materials and templates for your use.

6.6. Prohibited Claims: You shall not make any false, misleading, or exaggerated claims about services, success rates, or guarantees.


7. COMPETITION & NON-COMPETE CLAUSE

7.1. Exclusive Relationship: During the term of this agreement, you shall not engage in any business with competitors of Vipra Vivaah.

7.2. Competitor Definition: Competitors include any online matrimonial services, marriage bureaus, matchmaking agencies, or related matrimonial activities.

7.3. Post-Termination Non-Compete: After termination, you shall not operate any matrimonial business in the same territory using similar business models.


8. TERRITORY & EXPANSION

8.1. Designated Territory: Your franchisee operations are limited to the territory specified in the Franchisee Agreement.

8.2. Multi-Territory Rights: Additional territories may be granted based on performance and mutual agreement.

8.3. Territory Modifications: Vipra Vivaah reserves the right to modify territory boundaries with prior notice.


9. COMPLIANCE & LEGAL REQUIREMENTS

9.1. Legal Compliance: You must comply with all applicable local, state, and national laws and licensing requirements.

9.2. Business Registration: You must maintain valid business registration, GST registration (if applicable), and other necessary licenses.

9.3. Regulatory Changes: You must adapt to and comply with any changes in laws or regulations.

9.4. Ethical Practices: You must conduct business with integrity, honesty, and ethical practices.


10. TERM, TERMINATION & RENEWAL

10.1. Agreement Duration: The franchisee agreement is valid for the period specified in the Franchisee Agreement document.

10.2. Franchisee Termination Rights: You may terminate this agreement by providing one (1) month prior written notice.

10.3. Company Termination Rights: Vipra Vivaah reserves the right to terminate this agreement at any time without assigning any reason.

10.4. Termination for Breach: Immediate termination may be effected in case of:

  • Breach of confidentiality or intellectual property rights
  • Misuse of Vipra Vivaah brand name or reputation
  • Collecting payments outside the portal or in unauthorized modes
  • Charging amounts exceeding portal-displayed prices
  • Collecting any extra charges or fees from customers
  • Fraudulent activities or misrepresentation
  • Non-compliance with operational guidelines
  • Engaging with competitors

10.5. Post-Termination Obligations: Upon termination, you must cease using Vipra Vivaah brand, return all materials, settle accounts, and remove all signage.


11. DISPUTE RESOLUTION & ARBITRATION

11.1. Amicable Resolution: Both parties agree to first attempt to resolve disputes through mutual discussion.

11.2. Arbitration Clause: All disputes shall be referred for arbitration before a sole Arbitrator appointed by Vipra Vivaah.

11.3. Arbitration Venue: The venue of arbitration proceedings shall be at Bhilai, conducted in accordance with the Arbitration and Conciliation Act, 1996.

11.4. Governing Law: This Agreement shall be governed by the laws of India.

11.5. Jurisdiction: The courts at Bhilai shall have exclusive jurisdiction.


12. LIABILITIES & INDEMNIFICATION

12.1. Service Liability: You are solely responsible for service-related disputes arising from your operations.

12.2. Indemnification: You agree to indemnify and hold harmless Vipra Vivaah from any claims or legal actions arising from your operations or breach of this agreement.

12.3. Payment Fraud Protection: You will be held liable for any fraudulent payment collection activities or attempts to bypass the portal payment system.


13. PERFORMANCE & QUALITY STANDARDS

13.1. Performance Targets: You are expected to meet reasonable performance targets as communicated by Vipra Vivaah.

13.2. Quality Audits: Vipra Vivaah reserves the right to conduct periodic audits and quality assessments.

13.3. Customer Feedback: You must maintain high customer satisfaction ratings.


14. MODIFICATIONS & AMENDMENTS

14.1. Amendment Rights: Vipra Vivaah holds the exclusive right to modify this agreement from time to time.

14.2. Notification: Changes will be communicated in writing and become effective from the date specified.

14.3. Prior Permission: Prior written permission must be obtained before undertaking any activities not mentioned in this agreement.


15. BRAND PROTECTION & MISUSE

15.1. Brand Reputation: You must protect and enhance the reputation of Vipra Vivaah brand.

15.2. Misuse Consequences: Misuse of brand name, violation of payment collection rules, or related violations will result in appropriate legal action.


16. RECORD KEEPING & REPORTING

16.1. Comprehensive Records: You must maintain complete records of all registrations and business activities.

16.2. Periodic Reporting: Submit periodic reports as required through the portal dashboard.

16.3. Audit Cooperation: You must cooperate fully during audits and provide access to records when requested.


17. MISCELLANEOUS PROVISIONS

17.1. Entire Agreement: This document constitutes the entire agreement between the parties.

17.2. Severability: If any provision is found invalid, remaining provisions shall continue in full force.

17.3. Force Majeure: Neither party shall be liable for failure to perform due to circumstances beyond reasonable control.

17.4. Final Authority: Vipra Vivaah Matrimonial Services remains the final decision-maker for any disputes or matters not explicitly covered.

  • NO CASH, CHEQUE, DD, OR OFFLINE PAYMENTS PERMITTED
  • ONLY PORTAL-DISPLAYED AMOUNTS CAN BE CHARGED
  • NO EXTRA CHARGES IN ANY FORM
  • VIOLATIONS WILL RESULT IN IMMEDIATE TERMINATION
